1. Introduction and Acceptance of Terms
Welcome to Spokn. These Terms of Service ("Terms") constitute a legally binding agreement between you and 3M DIGITAL LTD (Company Registration Number: 11681453) ("we," "us," "our," or "Spokn") governing your access to and use of the Spokn mobile application and related services (collectively, the "Service").
By creating an account, accessing, or using Spokn, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use the Service.
Private Beta Notice: Spokn is currently in Private Beta testing. During this phase, features, functionality, and these Terms may change. We may make breaking changes to features you rely on as we develop and refine the Service. We will notify you of material changes with at least 3 months' advance notice via email and in-app notifications.

3. Eligibility
3.1 Age Requirement
You must be at least 16 years of age to create an account and use Spokn. If you are under 18, you represent that you have obtained permission from your parent or legal guardian to use the Service.
3.2 Account Accuracy
You agree to provide accurate, current, and complete information during registration and to update such information to maintain its accuracy.
3.3 Geographic Availability
Spokn is available globally. However, subscription pricing may be displayed in different currencies based on your location and billing details as determined by the Apple App Store or Google Play Store.
4. Account Registration and Security
4.1 Account Creation
You may create an account using:
- Email address with magic link authentication
- Google Sign-In
4.2 Multiple Accounts
You may create multiple accounts using different email addresses. However, each account is subject to these Terms independently.
4.3 Account Security
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized use at support@spokn.co
4.4 Prohibited Account Sharing
You may not:
- Share your account credentials with others
- Allow others to access your account
- Transfer or sell your account to another person
5. Free Trial and Subscription
5.1 Free Trial Period
New users receive a 14-day free trial of Spokn's premium features. During the trial:
- You have full access to all premium content and features
- No payment information is required
- No automatic conversion to paid subscription occurs
- You may use the Service without any charges
- You may create new accounts with different email addresses to access additional trial periods
5.2 Subscription Plans
After the free trial, you may subscribe to Spokn Premium for $15 USD per month (or equivalent in your local currency).
Subscription includes:
- Unlimited access to all audio stories in the Spokn library
- Automatic downloads of new content as it becomes available
- Offline listening capabilities
- Practice tracking and progress history
- Weekly progress emails
5.3 Billing and Payment
- Subscriptions are processed through the Apple App Store or Google Play Store
- Payment will be charged to your iTunes Account or Google Play Account
- Subscriptions automatically renew each month unless cancelled at least 24 hours before the end of the current period
- Your account will be charged for renewal within 24 hours prior to the end of the current period
- You can manage your subscription and turn off auto-renewal in your device's Account Settings
5.4 Price Changes
We reserve the right to change subscription pricing at any time. Existing subscribers will not be affected by price increases and will maintain their current pricing for as long as their subscription remains active and uninterrupted.
New pricing will apply only to:
- New subscribers
- Users who previously cancelled and are resubscribing
- Users whose subscriptions lapsed
Price changes will be communicated via email and in-app notification with at least 30 days' advance notice.
5.5 Voluntary Upgrade
The free trial does not automatically convert to a paid subscription. Upgrading to a paid subscription is entirely voluntary and requires an affirmative action on your part through the App Store or Google Play Store.
6. Refunds and Cancellations
6.1 Refund Policy
All subscription purchases are processed through the Apple App Store or Google Play Store. We defer entirely to Apple and Google's refund policies.
To request a refund:
- Apple users: Contact Apple Support or request a refund through reportaproblem.apple.com
- Google users: Contact Google Play Support or request a refund through play.google.com
We do not have the ability to process refunds directly.
6.2 Cancellation
You may cancel your subscription at any time through your device's Account Settings:
- iOS: Settings > [Your Name] > Subscriptions > Spokn
- Android: Google Play Store > Menu > Subscriptions > Spokn
Upon cancellation:
- You will retain access to premium features until the end of your current billing period
- No further charges will be made
- Your practice history and downloaded content will remain on your device
- Your account data will be retained for 1 year (see Section 14.2)
6.3 No Pro-Rata Refunds
Cancelling your subscription does not entitle you to a pro-rata refund for any unused portion of your subscription period.
7. Content and Intellectual Property
7.1 Ownership of Content
All audio stories, lessons, text, graphics, user interfaces, visual interfaces, photographs, trademarks, logos, sounds, music, artwork, and other content provided through the Service ("Content") are owned by or licensed to 3M DIGITAL LTD and are protected by copyright, trademark, and other intellectual property laws.
All Content is original material created and owned by Spokn.
7.2 License Grant to You
Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:
- Access and use the Service for your personal, non-commercial use
- Download and store Content on your device for offline listening during your subscription period
- Use Content for personal English language learning purposes
7.3 Restrictions on Use
You may NOT:
- Copy, reproduce, distribute, transmit, display, sell, license, or otherwise exploit the Content for any purpose without our express written consent
- Share, redistribute, or transfer downloaded Content to others
- Extract, rip, or attempt to extract source files or audio files from the app
- Use the Content for any commercial purpose without our express written permission
- Modify, create derivative works from, reverse engineer, decompile, or disassemble the Service or Content
- Remove, alter, or obscure any copyright, trademark, or other proprietary notices from the Content
- Use bots, scrapers, or other automated tools to access or download Content
- Resell, redistribute, or sublicense access to the Service or Content
7.4 Educational Use by Teachers
Teachers and educators may use Spokn in classroom settings by accessing Content through their personal subscription on their own device. This constitutes personal, non-commercial use permitted under Section 7.2. Redistribution of Content or account sharing remains prohibited.
7.5 Downloaded Content
- Content is automatically downloaded to your device for offline use while you have an active subscription or during your free trial
- The entire Spokn library will be downloaded at once
- New content becomes available for download as it is released
- Downloaded files are stored in your device's local storage
- Downloaded files do not expire and remain on your device even after subscription cancellation, however, they will not be accessible through the app without an active subscription
7.6 Content Updates and Removals
We reserve the right to:
- Add new Content to the Service at any time
- Update existing Content (though unlikely during beta)
- Remove Content from the Service (though unlikely during beta)
Users will be notified of significant Content changes, additions, or removals in our quarterly update emails.
7.7 Feedback and Suggestions
If you provide us with feedback, suggestions, or ideas about the Service, you grant us the right to use such feedback without any obligation or compensation to you.
8. Acceptable Use and Prohibited Conduct
8.1 Acceptable Use
Spokn is intended for personal English language learning and practice. You agree to use the Service in a manner consistent with this purpose and in compliance with all applicable laws and regulations.
8.2 Prohibited Activities
You agree NOT to:
Security and Technical:
- Attempt to gain unauthorized access to any part of the Service, accounts, computer systems, or networks connected to the Service
- Use any automated system (bots, scrapers, spiders) to access the Service
- Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Service
- Interfere with or disrupt the integrity or performance of the Service
- Attempt to circumvent any security measures or access controls
Content Misuse:
- Download, rip, extract, or attempt to extract audio files or Content from the Service beyond the permitted offline download feature
- Distribute, share, sell, or redistribute Content to third parties
- Use the Content for commercial purposes without express written permission
- Use the Service in any manner that could damage, disable, overburden, or impair our servers or networks
Account Misuse:
- Impersonate any person or entity
- Create accounts using false or misleading information with intent to deceive (beyond multiple legitimate personal accounts)
- Use the Service for any purpose other than genuine learning and education
Legal Violations:
- Use the Service for any illegal purpose or in violation of any local, national, or international law
- Violate any intellectual property rights of Spokn or third parties
8.3 Consequences of Violations
Violation of these prohibited activities may result in immediate termination of your account without refund and potential legal action.
9. Account Termination and Suspension
9.1 Termination by You
You may delete your account at any time through the in-app account deletion feature in your profile settings. Upon deletion:
- Your access to the Service terminates immediately
- Your personal data will be deleted in accordance with our Privacy Policy
- Downloaded content will remain on your device but will not be accessible through the app
- No refunds will be provided for any unused subscription time
9.2 Termination or Suspension by Us
We reserve the right to suspend or terminate your account, at our sole discretion, immediately and without prior notice if:
- You violate any provision of these Terms
- You engage in fraudulent activity or provide false information
- You use the Service for purposes other than genuine learning and education
- Your actions harm or could harm other users or Spokn
- We are required to do so by law
- We determine, at our discretion during Private Beta, that termination is necessary
9.3 Effects of Termination
Upon termination by us:
- Your access to the Service is immediately revoked
- No refund will be provided for any unused subscription time
- Your account data will be deleted immediately
- Downloaded content will remain on your device but will not be accessible through the app
- You may not create a new account without our express permission
9.4 Survival
Sections of these Terms that by their nature should survive termination will survive, including but not limited to: Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Dispute Resolution.
10. Educational Disclaimers
10.1 Supplementary Learning Tool
Spokn is designed as a supplementary learning tool to support English language practice and learning. It is not:
- A replacement for formal education or language instruction
- A certified English language course or program
- Accredited by any educational institution
- A guarantee of language proficiency or fluency
10.2 No Guarantee of Outcomes
We make no guarantees, representations, or warranties regarding:
- Specific learning outcomes or improvements
- Achievement of language fluency or proficiency levels
- Success in language exams or certifications
- Timeframes for language acquisition
- Results comparable to formal instruction
10.3 Individual Results Vary
Language learning outcomes depend on many factors including but not limited to: individual effort, practice frequency, prior knowledge, learning style, and external study. Your results may differ from others.
10.4 Professional Advice
Spokn is not a substitute for professional language instruction, tutoring, or educational advice. For specific educational needs or professional language certification, consult qualified language instructors or educational institutions.
11. Device Compatibility and Technical Requirements
11.1 Supported Devices
Spokn is designed to be compatible with a wide range of iOS and Android devices, including devices up to approximately 10 years old that are available in Android Studio and Xcode simulators.
11.2 Your Responsibility
You are responsible for:
- Ensuring your device meets minimum system requirements
- Maintaining a compatible operating system version
- Having sufficient storage space for downloaded content
- Maintaining a stable internet connection for initial downloads and streaming
11.3 No Guarantee of Compatibility
While we strive for broad compatibility, we do not guarantee that the Service will function on all devices or with all operating system versions. We are not responsible if the Service does not work on your particular device.
11.4 Updates and Maintenance
We may release updates, patches, or new versions of the app. Some updates may be required for continued use of the Service. Failure to install required updates may result in degraded functionality or inability to access the Service.
12. Service Availability and Modifications
12.1 Service Availability
We strive to provide 24/7 access to the Service. However, we do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to:
- Scheduled or emergency maintenance
- Technical issues or server problems
- Issues with third-party service providers
- Circumstances beyond our reasonable control
12.2 Modifications to the Service
We reserve the right, at any time and at our sole discretion, to:
- Modify, suspend, or discontinue any aspect of the Service
- Change features, functionality, or Content
- Impose limits on certain features
- Restrict access to parts or all of the Service
During Private Beta: We may make breaking changes to features you rely on as we develop and improve the Service. We will communicate significant changes through our quarterly update emails.
12.3 No Liability for Changes
We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.
13. Disclaimers and Warranties
13.1 "AS IS" and "AS AVAILABLE" Basis
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
13.2 No Warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- Warranties of merchantability, fitness for a particular purpose, and non-infringement
- Warranties regarding the accuracy, reliability, or completeness of Content
- Warranties that the Service will be uninterrupted, timely, secure, or error-free
- Warranties regarding the quality of any Content or the results obtained from using the Service
13.3 No Money-Back Guarantee
We do not offer a money-back satisfaction guarantee. All refund requests are subject to Apple and Google's respective refund policies (see Section 6.1).
13.4 Third-Party Services
The Service may integrate with or contain links to third-party services (Apple App Store, Google Play Store). We are not responsible for and make no warranties regarding these third-party services.
13.5 Content Accuracy
While we strive to provide accurate and high-quality educational Content, we do not warrant that the Content is error-free, current, or suitable for your specific learning needs.
14. Limitation of Liability
14.1 Limitation of Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL 3M DIGITAL LTD, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY:
- INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- LOSS OF PROFITS, REVENUE, DATA, OR USE
- LOSS OF GOODWILL OR REPUTATION
- COST OF PROCUREMENT OF SUBSTITUTE SERVICES
- DAMAGES ARISING FROM YOUR USE OR INABILITY TO USE THE SERVICE
WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
14.2 Maximum Liability
TO THE EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR £100, WHICHEVER IS GREATER.
14.3 Basis of the Bargain
YOU ACKNOWLEDGE AND AGREE THAT THE DISCLAIMERS AND LIMITATIONS OF LIABILITY IN THESE TERMS REFLECT A REASONABLE AND FAIR ALLOCATION OF RISK BETWEEN YOU AND US, AND THAT THESE LIMITATIONS ARE AN ESSENTIAL BASIS OF OUR AGREEMENT.
14.4 Applicable Law
Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.
15. Indemnification
You agree to indemnify, defend, and hold harmless 3M DIGITAL LTD, its officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:
- Your use or misuse of the Service
- Your violation of these Terms
- Your violation of any rights of another party, including intellectual property rights
- Your violation of any applicable law or regulation
- Any content or information you submit or transmit through the Service
- Any fraudulent, false, or misleading information provided by you
We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you will cooperate with us in asserting any available defenses.
16. Privacy and Data Protection
16.1 Privacy Policy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy at https://www.spokn.co/privacy-policy to understand our data practices.
16.2 Data Retention After Cancellation
After subscription cancellation or account deletion:
- Your account data and practice history will be retained for 1 year
- During this period, you may reactivate your subscription and restore your progress
- After 1 year of inactivity, your data will be permanently deleted
- Downloaded content will remain on your device but will not be accessible through the app
16.3 Consent to Data Processing
By using the Service, you consent to the collection, use, and processing of your personal information as described in our Privacy Policy.
17. Third-Party Services and Terms
17.1 Apple App Store and Google Play Store
If you access the Service through the Apple App Store or Google Play Store, you acknowledge and agree that:
- Apple and Google are third-party beneficiaries of these Terms
- Apple's and Google's respective terms and conditions apply to your use of the app downloaded from their platforms
- In the event of any conflict between these Terms and Apple's or Google's terms, Apple's or Google's terms shall govern with respect to your use of the app downloaded from their respective platforms
17.2 Apple-Specific Terms
For users who download the app from the Apple App Store:
- These Terms are between you and 3M DIGITAL LTD only, not Apple
- Apple has no obligation to provide maintenance or support for the app
- In the event of any failure of the app to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any); Apple has no other warranty obligation
- Apple is not responsible for addressing any claims relating to the app or your possession/use of the app
- Apple is not responsible for any product liability claims, failure to conform to legal/regulatory requirements, or consumer protection/similar legislation claims
- Apple is not responsible for intellectual property infringement claims relating to the app
- Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce these Terms against you
17.3 Subscription Disputes
All subscription billing disputes, refund requests, and payment-related issues must be directed to Apple or Google, as applicable. We do not handle subscription disputes directly.

18. Beta-Specific Terms
18.1 Private Beta Status
Spokn is currently operating in Private Beta. This means:
- The Service is still under development and testing
- Features, functionality, and Content may change without notice
- You may encounter bugs, errors, or unexpected behavior
- We may make breaking changes to features you rely on
- Performance and availability may vary
18.2 No Confidentiality Requirements
As a Private Beta user, you are free to:
- Discuss the Service publicly
- Share screenshots or screen recordings
- Write reviews or provide public feedback
- Share your experience on social media or other platforms
There are no non-disclosure agreements or confidentiality obligations for beta users.
18.3 Feedback and Communication
As a beta participant, you may receive:
- Product update emails (quarterly for major updates)
- Feedback requests and surveys
- In-app messages requesting your input
- Notifications about new features or changes
Your participation in feedback activities is voluntary but appreciated.
18.4 Beta to Public Launch Transition
When Spokn transitions from Private Beta to public release:
- You will be notified via email and in-app message
- You will not be required to re-accept these Terms unless material changes are made
- Your account, data, and subscription status will continue uninterrupted
- These Terms will be updated to remove beta-specific provisions with advance notice
18.5 No Special Beta Benefits
At this time, Private Beta users do not receive any special benefits, grandfathered pricing, or preferential terms when transitioning to public launch. We reserve the right to offer such benefits in the future at our discretion.
19. Dispute Resolution and Governing Law
19.1 Governing Law
These Terms and your use of the Service shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.
19.2 International Users
If you access the Service from outside the United Kingdom, you are responsible for compliance with local laws. UK law applies to all users globally regardless of location.
19.3 Informal Resolution First
Before initiating any formal dispute resolution, you agree to first contact us at support@spokn.co and attempt to resolve the dispute informally. We commit to working with you in good faith to resolve any disagreements.
Please provide:
- A detailed description of the dispute
- Your desired resolution
- Your contact information
We will respond within 48 hours (typically within 12 hours) and work with you to find a mutually acceptable resolution.
19.4 Formal Dispute Resolution
If we cannot resolve the dispute informally within 30 days, either party may pursue formal dispute resolution as follows:
Negotiation and Mediation:
- We agree to engage in good-faith negotiation
- If negotiation fails, either party may suggest mediation
- Mediation shall be conducted by a mutually agreed-upon mediator
- The costs of mediation shall be shared equally
Arbitration or Litigation:
- If mediation is unsuccessful or declined by either party, disputes may be resolved through:
- Binding arbitration under the rules of a mutually agreed arbitration body, OR
- Litigation in the courts of England and Wales
The method shall be determined based on the nature and value of the dispute, with preference for cost-effective and efficient resolution.
19.5 Jurisdiction
For any disputes that proceed to litigation, you agree to submit to the exclusive jurisdiction of the courts of England and Wales.
19.6 Class Action Waiver
To the extent permitted by law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
19.7 Time Limitation
You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Service or these Terms must be filed within one (1) year after such claim or cause of action arose or be forever barred.
20. Changes to Service Ownership
20.1 Business Transitions
In the event that 3M DIGITAL LTD is involved in a merger, acquisition, sale of assets, bankruptcy, or other business transition, you acknowledge that:
- These Terms and your account may be transferred to the acquiring entity
- Your data may be transferred as part of the transaction
- You will be notified of any such transfer
20.2 Service Discontinuation Guarantee
If we decide to permanently discontinue the Spokn service due to sale, acquisition, or shutdown, we guarantee:
1-Year Notice and Access:
- Minimum of 1 year advance notice via email and in-app notification
- Continued access to the Service for at least 1 year from the date of notice
- Your current Terms, Privacy Policy, and data practices will remain in effect for this 1-year period
- No additional charges during this notice period (existing subscriptions honored)
After 1-Year Period:
- The specific terms for post-discontinuation will be communicated in the shutdown notice
- Options may include but are not limited to:
- Data export and download of your practice history
- Transfer to an alternative service (if available)
- Permanent access to previously downloaded content
- Full account and data deletion
Subscription Refunds:
- If you have an active subscription at the time of shutdown notice, you will not be charged for subsequent periods
- Refunds for unused subscription time will be handled according to Apple/Google policies
20.3 Continued Use After Transfer
Your continued use of the Service after a business transition constitutes acceptance of the transfer and any updated terms, provided you are given reasonable notice and opportunity to review changes.
21. Modifications to These Terms
21.1 Right to Modify
We reserve the right to modify these Terms at any time. When we make changes, we will:
- Update the "Last Updated" date at the top of these Terms
- Notify you via email to the address associated with your account
- Display an in-app notification when you next open the app
- Post the updated Terms on our website at spokn.co/terms
21.2 Material Changes
For material changes that significantly affect your rights or obligations, we will provide:
- At least 3 months' advance notice before the changes take effect
- A clear summary of the changes in the notification
- An opportunity to review the full updated Terms
Material changes include but are not limited to:
- Changes to subscription pricing or billing terms
- Significant changes to how we use your data
- Changes to refund or cancellation policies
- Changes to your license rights or permitted uses
- Changes to limitation of liability or dispute resolution
21.3 Non-Material Changes
For non-material changes (such as clarifications, formatting, or minor updates), we will provide notice but may not require the full 3-month notice period.
21.4 Acceptance of Changes
Your continued use of the Service after the effective date of modified Terms constitutes acceptance of those changes. If you do not agree to the modified Terms:
- You may delete your account before the effective date
- Contact us at support@spokn.co with questions or concerns
- Exercise your rights under the modified Terms before they take effect
21.5 Historical Versions
We will maintain historical versions of these Terms and make them available upon request to support@spokn.co.
22. General Provisions
22.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and 3M DIGITAL LTD regarding the Service and supersede all prior agreements, understandings, and communications, whether written or oral.
22.2 Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
22.3 Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of 3M DIGITAL LTD.
22.4 Assignment
You may not assign, transfer, or delegate these Terms or your rights and obligations hereunder without our prior written consent. We may assign these Terms or any rights hereunder without restriction. These Terms shall be binding upon and inure to the benefit of the parties and their respective successors and permitted assigns.
22.5 No Agency
No agency, partnership, joint venture, or employment relationship is created between you and 3M DIGITAL LTD as a result of these Terms or your use of the Service.
22.6 Force Majeure
